Notice Regarding Establishment Of A Third-Party Investigation Committee

On December 25, 2024, we announced disciplinary action against one of our employees. In response to this, we would like to announce that we have established a Third-Party Investigation Committee as follows.

1. Purpose of Establishing a Third-Party Investigative Committee.

In accordance with OIST's internal regulations, disciplinary proceedings were held for the misconduct of one of our employees, and it was found that the actions of the employee in question fell under the grounds for disciplinary action. Therefore, so the employee in question was dismissed from the position on December 25, 2024. We have decided to establish a Third-Party Investigation Committee consisting of external lawyers with no vested interest in OIST, as we believe that recommendations regarding the understanding of the case, the formulation of measures to prevent recurrence, and the clarification of responsibility are necessary.

2. Scope of investigation by the Third-Party Investigation Committee.

  1. The facts regarding the scale, background/reasons, etc. of this case ("the Case").
  2. Whether there was any impact from the work, etc. in which the employee in question was involved.
  3. The cause and responsibility for the Case.
  4. Measures to prevent a recurrence similar to the Case.
  5. Other matters related to the Case.

3. Composition of the Third-Party Investigation Committee (honorifics omitted).

  • Chairman: Gaku Hirao, Attorney-at-Law, Nishimura & Asahi Former Public Prosecutor, Tokyo District Public Prosecutors Office
  • Member: Seiko Nozaki, Attorney-at-Law, Umuyasu Law & Accounting Office President, Okinawa Bar Association
  • Member: Kozue Takayama, Attorney-at-Law, Shinwa Law

In selecting the members of the Third-Party Investigation Committee, we have followed the "Guidelines for Third-Party Committees in Cases of Corporate Misconduct" (issued on July 15, 2010) of the Japan Federation of Bar Associations.

4. Future Actions

OIST will cooperate fully with the investigation by the Third-Party Investigation Committee and will move forward with the investigation as quickly as possible. In addition, we will promptly disclose the outcome of the investigation by the Third-Party Investigation Committee.
